By accessing www.stoneoak.in (the 'Platform') or utilizing any services provided by Stoneoak Strategy LLP ('Stoneoak', 'we', 'our', or 'us'), you explicitly agree to be bound by these Terms of Service. If you do not agree to all terms, you must immediately cease accessing the Platform.

• "Investor" refers to any accredited individual or entity evaluating or participating in real estate capital opportunities.
• "Developer" refers to real estate builders, promoters, or landowners engaging Stoneoak for mandate sales, branding, or capital services.
• "SPV" refers to Special Purpose Vehicles structured for project ownership or investment syndication.
• "Services" refers to mandate sales strategy, performance branding, capital funding matching, advisory desks, and platform features.
• "Applicable Law" refers to all statutory laws, acts, rules, RERA directives, and regulations in force in India.

3. Eligibility

Users must be at least 18 years of age and legally competent to enter into binding contracts under the Indian Contract Act, 1872. By using the Platform, you warrant that all information submitted is true, accurate, and complete.

4. Nature of Services

Stoneoak Strategy LLP operates as an exclusive real estate mandate strategy, marketing partner, and capital syndication facilitator. Unless expressly stated in a separate written agreement, Stoneoak is not acting as a licensed banking institution, NBFC, registered custodian, stock exchange, or financial guarantor.

5. User Accounts & Security

Users are solely responsible for maintaining the confidentiality of their account credentials, login details, and passwords. You accept full responsibility for all activities conducted under your account.

6. KYC & AML Compliance

Users may be required to complete mandatory Know Your Customer (KYC) and Anti-Money Laundering (AML) verification procedures before accessing specific mandate proposals, investor decks, or structured opportunities. Failure to provide verified credentials may result in service restriction.

7. Investment Risks & Due Diligence

All real estate developments and capital opportunities carry inherent market, illiquidity, and financial risks. Past project performance or historical sales velocity is not a guarantee of future outcomes. Users, investors, and developers are advised to perform independent legal, financial, and technical due diligence and consult professional advisors prior to executing financial commitments.

8. No Professional or Financial Advice

Information published on the Platform is for general informational and marketing purposes only and does not constitute formal legal, tax, accounting, securities, or investment advice.

9. Payments, Fees & Statutory Charges

Applicable advisory fees, commission structures, or platform service charges will be disclosed transparently in individual mandate agreements or transaction documents prior to execution. Taxes, GST, stamp duties, and statutory levies remain the sole responsibility of the user unless specified otherwise.

10. Intellectual Property Rights

All content, trademarks, logos, brand assets, site architecture, visual designs, copywriting, and software codebase belong exclusively to Stoneoak Strategy LLP or its licensors. Unauthorized copying, reproduction, or distribution is strictly prohibited.

11. Prohibited Use

Users agree not to engage in any unlawful activity, fraud, impersonation, automated data scraping, malware injection, reverse engineering, or intentional disruption of Platform operations.

12. Third-Party Services & External Links

The Platform may integrate or link to third-party services (such as payment gateways, escrow trustees, or partner platforms including FracInvest). Stoneoak assumes no liability or responsibility for the acts, omissions, or policies of third-party service providers.

13. Privacy & Data Protection

Your access and use of the Platform are governed by our Privacy Policy, which details how personal information is collected, processed, and secured in compliance with the DPDP Act, 2023.

14. Account Suspension & Termination

We reserve the right to suspend or terminate user accounts, restrict access, or cancel mandate inquiries immediately if a user breaches these Terms, engages in fraudulent conduct, or violates applicable law.

15. Limitation of Liability

To the maximum extent permitted under applicable law, Stoneoak Strategy LLP, its partners, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, or data arising out of or related to your use of the Platform.

16. Indemnity

Users agree to indemnify, defend, and hold harmless Stoneoak Strategy LLP, its partners, and affiliates against any claims, liabilities, losses, damages, or expenses (including legal fees) arising from misuse of the Platform or breach of these Terms.

17. Force Majeure

Stoneoak shall not be held liable for any delay, failure in performance, or service interruption caused by events beyond reasonable control, including acts of God, natural disasters, epidemics, war, government directives, bank system failures, or telecommunications outages.

18. Governing Law

These Terms of Service are governed by, construed, and enforced in accordance with the substantive laws of India.

19. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms shall first be attempted to be resolved amicably through good-faith negotiations. Failing settlement within 30 days, disputes shall be referred to and finally resolved by binding arbitration in Bengaluru, Karnataka, under the provisions of the Arbitration and Conciliation Act, 1996. Courts located at Bengaluru shall have exclusive jurisdiction over applicable proceedings.

20. Modifications to Terms

We reserve the right to revise these Terms periodically. Updated versions will be published on the Platform with a revised effective date. Continued access to the Platform after updates constitutes acceptance of the revised Terms.
